1. Special board meetings require 4 days' notice to directors by first-class mail or 48 hours' notice delivered personally or by telephone or telegraph or other electronic means, now including answering machines, voice mail, e-mail and fax. [Corp. Code §7211]
2. Board "meetings" are now defined and must be open to members, with limited exceptions for executive sessions. [CC §1363.05]
3. Board minutes must be available to members. [See "Membership Rights" below.]
4. Unless the time and place of board meetings is fixed in the bylaws, the association must give notice to members of board meetings by posting in the common area at least 4 days before the meeting. Presumably this could be once each year, so long as the date, time and place set for regular meetings does not change. However, the association must give by mail to any owner who requests notice of board meetings by mail. [CC §1363.05(g)]
5. Emergency board meetings, without required prior notice, are available only for limited purposes. In an emergency, try to give the best notice possible under the circumstances. [CC §1363.05(h)]
